ASTRAZENECA MERGES JAPANESE SUBSIDIARIES

AstraZeneca and Sumitomo Chemical Company Limited, of Osaka, today announced an agreement to merge AstraZeneca K.K. and Zeneca Yakuhin K.K from October 1, (2000). The shareholding of the merged company, AstraZeneca K.K, will be owned 80 per cent by AstraZeneca and 20 per cent by Sumitomo Chemical Company.

The merged company will complete the integration of Astra and Zeneca in Japan and strengthen AstraZeneca's business there. AstraZeneca K.K. is a 100 per cent-owned subsidiary of AstraZeneca established by the merger of Astra Japan K.K. and Zeneca K.K. as of January 1, 2000. Zeneca Yakuhin K.K. is a joint venture between AstraZeneca and Sumitomo Kagaku with a shareholding ratio of 60 per cent and 40 per cent, respectively.

AstraZeneca K.K. will be based in Osaka and integrate the assets and employees of Zeneca Yakuhin. The company will have about 2,000 employees and annual sales of about 100 billion yen (at NHI price level).
